By accessing or using products and services provided by VivaLyn Labs ("we," "our," or "us"), including Vivalyn EMR, MedScribe, and related healthcare AI services, you agree to be bound by these Terms of Service. If you do not agree, do not use our products.

2. Description of Services

  • Vivalyn EMR is an AI-powered electronic medical records, clinic management, and hospital workflow platform for healthcare organizations.
  • MedScribe is an AI medical scribe for clinical transcription, SOAP note drafting, consultation summaries, and documentation workflows.
  • Custom AI Studio provides healthcare AI consulting, model orchestration, workflow automation, and private deployment services for organizations.

3. Eligibility and Authorized Use

Our healthcare products are intended for use by authorized healthcare professionals, clinics, hospitals, administrators, and organization users approved by the customer. Customers are responsible for managing user access and ensuring users comply with applicable laws and internal policies.

4. User Accounts

You are responsible for maintaining the security of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.

5. Acceptable Use

  • Do not use our products for unlawful, harmful, or unauthorized purposes.
  • Do not attempt to gain unauthorized access to our systems or customer data.
  • Do not reverse engineer, decompile, or disassemble any part of our products.
  • Do not upload malicious code or interfere with the operation of our services.
  • Do not use AI-generated content as a substitute for professional clinical judgment.

6. AI-Generated Content

Our products use artificial intelligence to generate draft notes, summaries, coding suggestions, and workflow recommendations. AI output is assistive only. Healthcare professionals are responsible for reviewing, editing, approving, and validating all clinical content before it is used for care, billing, compliance, or patient communication.

7. Healthcare Disclaimer

Vivalyn EMR and MedScribe are clinical workflow tools. They do not replace clinical judgment, medical diagnosis, or licensed provider responsibility. All AI-generated clinical suggestions, documentation, prescriptions, follow-up schedules, and diagnostic notes must be reviewed and approved by qualified healthcare professionals.

8. Intellectual Property

All content, code, design, trademarks, and intellectual property associated with VivaLyn Labs products are owned by VivaLyn Labs or its licensors. You may not copy, modify, distribute, or create derivative works from our products without prior written consent.

9. Data and Privacy

Your use of our products is also governed by our Privacy Policy. Customers are responsible for their legal basis, consent, patient communication, retention rules, and healthcare data governance obligations.

10. Limitation of Liability

To the maximum extent permitted by law, VivaLyn Labs shall not be liable for indirect, incidental, special, consequential, punitive, or clinical damages arising from use of our products. Services are provided under applicable agreements and are otherwise provided "as is" without warranties of any kind.

11. Termination

We reserve the right to suspend or terminate access for violation of these terms, applicable agreements, security requirements, or acceptable-use obligations.

12. Changes to Terms

We may update these Terms of Service from time to time. Continued use of our products after changes are posted constitutes acceptance of the revised terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India, unless otherwise agreed in a written customer agreement.
